  1. Performance Agreement: By agreeing to perform services at the Fauquier Juneteenth Festival, the performer or service provider acknowledges and agrees to abide by the terms and conditions outlined in this agreement.

  2. Schedule.

    1. The performer agrees to adhere to the schedule mutually agreed upon in the agreement. Schedule changes requested by the organizers shall be communicated two weeks in advance of the festival and the provider will have two business days to review the schedule change and provide acknowledgement. For schedule changes less than two hours from the originally agreed upon time (e.g., originally 12:00p.m. to 10:00a.m. (two hours before) or 2:00p.m (two hours after), the organizers will provide an update to the performer unilaterally up to one week before festival.

    2. The performer shall arrive at least one hour prior to the performance and check in at the Welcome Tent. A Juneteenth Committee Member will escort you to the proper staging location prior to the performance.

    3. The rain date for Juneteenth this year is June 22, 2024. The festival organizers will provide 48 hours notice prior to the originally scheduled date, June 15, 2024 if the rain date will be exercised. All contract terms are in effect for both the original date and rain date. If the performer cannot perform on both dates then a contract cannot be signed in good faith.

  3. Content. The performer agrees to deliver a performance that is appropriate for all ages and aligns with the values of the Juneteenth Festival. The following are strictly prohibited:

    1. Explicit Language: Any content containing explicit language, including profanity or vulgarity, is strictly prohibited.

    2. Adult Themes: Performances or displays depicting adult themes such as sexual content, nudity, or graphic violence are not permitted.

    3. Drug and Alcohol References: Content that promotes or glorifies drug and alcohol use, or includes references to illegal substances, is prohibited.

    4. Hate Speech: Any content that promotes discrimination, hatred, or violence against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, or any other characteristic is strictly forbidden.

    5. Offensive Imagery: Content featuring offensive or derogatory imagery, including but not limited to symbols, gestures, or stereotypes that demean or marginalize others, is not allowed.

    6. Political Advocacy: Performances or displays advocating for specific political ideologies, parties, or candidates are prohibited.

    7. Religious Propaganda: Content promoting or proselytizing for any particular religion or religious belief system is not permitted.

    8. Gambling or Betting: Content related to gambling or betting, including promotional material for casinos or betting establishments, is prohibited.

    9. Graphic or Disturbing Content: Any content that is excessively graphic, gory, or disturbing, including depictions of violence or horror, is not suitable for a family audience.

    10. Any Other Content Deemed Inappropriate: The festival organizers reserve the right to prohibit any content that is deemed inappropriate or unsuitable for a family-friendly environment, at their discretion.

    These guidelines aim to ensure that the family festival provides a safe, welcoming, and enjoyable experience for attendees of all ages. Performers, exhibitors, and participants are expected to adhere to these rules to maintain the integrity of the event.

  4. Technical Requirements. The performer shall provide a list of technical requirements including sound and stage setup to the festival organizers at least 30 days prior to the event. The festival organizers will make reasonable efforts to accommodate these requirements within their capabilities and resource constraints.

  5. Promotional Material. The performer grants the musical festival organizers the right to use their name, likeness, and promotional material for marketing and promotional purposes related to the festival, both before and after the event.

  6. Compensation.

    1. Contract Required. The performer’s compensation, including fees, shall be outlined in a separate agreement or contract between the performer and the festival organizers.

    2. Confidential. The performer agrees that the compensation amount agreed upon for the performance shall be treated as confidential information. The performer shall not disclose the compensation amount to any third party, including but not limited to other performers, agents, or representatives, without prior written consent from the festival organizers.

      This confidentiality obligation shall survive the termination of this agreement and shall remain in effect indefinitely. Any breach of this clause may result in legal action and may lead to termination of the performer's participation.

  7. Payment Method and Procedures. Performers acknowledge and agree that the Fauquier Juneteenth Committee will issue payments for their services using checks, in accordance with the committee's accounting procedures.

    Payment terms and conditions, including the amount and timing of payments, shall be specified in a separate agreement or contract between the performer and the Fauquier Juneteenth Committee.

    Performers agree to provide accurate and up-to-date payment information, including mailing address and contact details, to ensure timely and efficient payment processing.

    Any discrepancies or issues regarding payments shall be promptly communicated to the Fauquier Juneteenth Committee for resolution.

  8. Parking and Equipment Drop-off. Performers acknowledge and agree that parking will not be provided for their vehicles at the venue. However, the festival organizers shall designate a specific location for performers to temporarily drop off critical equipment and unload necessary items before their performance.

    Performers are responsible for making their own parking arrangements and ensuring that their vehicles are parked in compliance with local laws and regulations. The designated drop-off location shall be clearly communicated to performers prior to the event, and performers are expected to promptly move their vehicles to appropriate parking areas after unloading.

    The festival organizers shall not be liable for any loss, damage, or inconvenience incurred due to parking arrangements made by performers. Performers are advised to plan accordingly and allocate sufficient time for parking and equipment drop-off to ensure smooth and timely performance execution.

  9. Dressing Room. Due to the limited facilities on Main St., performers acknowledge and agree that dedicated dressing rooms will not be provided. However, restroom facilities will be available for performers to use for changing purposes at the Town of Warrenton Building.

    Performers are encouraged to arrive prepared and dressed appropriately for their performance.

    The festival organizers will ensure that restroom facilities are adequately maintained and stocked with necessary amenities throughout the duration of the event.

  10. Cancellation Policy. In the event of unforeseen circumstances or force majeure, the festival will be postponed to the rain date, June 22, 2024. If another unforeseen circumstance or force majeure happens on the rain date, the performance will be canceled. The deposits provided must be refunded to the Committee within 30 days.

  11. Liability. The performer assumes all responsibility and liability for their performance and any associated equipment or personnel. The festival organizers shall not be held liable for any loss, damage, injury, or liability incurred during the performance or as a result of the performance.

  12. Indemnification. The performer agrees to indemnify and hold harmless the festival organizers, their affiliates, and representatives from any claims, damages, or losses arising from the performer’s performance or breach of this agreement.

  13. Governing Law. This agreement shall be governed by and construed in accordance with the laws of Virginia. Any disputes arising from this agreement shall be resolved through amicable negotiations, and if unsuccessful, through mediation or arbitration.
